Partnerships do not file annual tax returns as profit is passed through to the partners of the company. The partner must claim their part of the profit in their personal tax return, in the country where they reside.
Our company collects an annual renewal fee of $999 one year after the registration date, this fee includes the renewal of the company along with the registered office address for the year.
Our one time formation fee includes the registered office address and records office in Ontario for one year. If you require mail forwarding services for your bank, suppliers, or clients, please order virtual office services in our order form. Our company will be able to provide you a scan of the mail received at the address provided.
A limited partnership consists of a general and limited partner. A minimum of one general and one limited partner is required to form the partnership. An individual or legal entity may be a general partner and a limited partner at the same time in the same limited partnership. This means that only a minimum of one individual or legal entity is required to form the partnership.
Information regarding the general partner is filed with the registry. General partners are personally liable for the partnership and typically run and manage the company. A general partner may be an individual or legal entity who is residents of any country. If the general partner is a legal entity, they will be required to be registered extra-provincially in Ontario before being able to be appointed a general partner of a limited partnership.
Information regarding the limited partner is not filed with the registry, only internally in the corporate documents. Limited partners are not personally liable for the partnership as their liability is subject to their own contribution to the company which allows them to participate in the profits of the company. A limited partner may be an individual or legal entity who is a resident of any country.
